("Calm," "Company," "we," "us," or "our"). To make these Terms easier to read, the Website, App, and our services are collectively called the "Services." # NOTICE ON PROHIBITED USE – RESTRICTED PERSONS THE SERVICES ARE NOT OFFERED TO AND MAY NOT BE USED BY: PERSONS OR ENTITIES WHO RESIDE IN, ARE CITIZENS OF, ARE LOCATED IN, ARE INCORPORATED IN, OR HAVE A REGISTERED OFFICE IN ANY RESTRICTED TERRITORY, AS DEFINED BELOW (EACH SUCH PERSON OR ENTITY, A "RESTRICTED PERSON"). For the purposes of these Terms, "Restricted Territory" means Cuba, Iran, North Korea, Syria, Russia, the Crimea, Donetsk People's Republic and Luhansk People's Republic regions of Ukraine, and any other country or jurisdiction subject to U.S., EU, UK, or other applicable sanctions or embargoes. *** # IMPORTANT NOTICE REGARDING ARBITRATION FOR U.S. CUSTOMERS: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND COMPANY THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. Who May Use the Services? ## 4.1 Eligibility You may use the Services only if you are 18 years or older and capable of forming a binding contract with Company, and not otherwise barred from using the Services under applicable law. ## 4.2 Compliance In order to protect the integrity of the Services, we reserve the right, at any time, in our sole discretion, to block access to the Services from certain IP addresses, wallet addresses, unique device identifiers, or geographic locations. *** # 5. About the Services ## 5.1 Service Description The Services provide a non-custodial interface for interacting with third-party treasury infrastructure, protocols, and smart contracts on various blockchain networks. The Services may enable you to: * Configure treasury policies and automation workflows * Deploy and unwind stablecoin balances into supported venues * Monitor balances, transactions, and activity * View transaction history and status * Access informational materials related to treasury management The Services function solely as a software coordination and workflow layer. ## 5.2 Non-Custodial Nature IMPORTANT: Company does not custody, control, or manage your digital assets. The Services are purely an interface for interacting with third-party systems and smart contracts. All transactions occur directly through blockchain networks or third-party infrastructure that are not under our control. You retain full control over your assets at all times. ## 5.3 No Investment or Advisory Services Company does not provide investment advice, portfolio management, brokerage services, or financial recommendations. Company does not: * Act as an investment manager * Exercise discretionary authority over assets * Pool funds * Provide fiduciary services You are solely responsible for evaluating any transactions or deployments made using the Services. ## 5.4 Third-Party Infrastructure You understand and acknowledge that: * Third-party protocols and infrastructure operate independently from Company * Company has no ability to reverse, cancel, or modify transactions once initiated * Company is not responsible for the functionality, security, or performance of third-party systems * Third-party risks include bugs, exploits, governance failures, insolvency events, or operational failures ## 5.5 Wallet Connection and Screening When you connect your non-custodial wallet to the Services: * We may collect and log your publicly available blockchain address * We may screen your wallet for illicit activity using blockchain analytics providers * We do not custody or control your wallet or private keys * You remain solely responsible for wallet security # 6. Transactions and Fees ## 6.1 Blockchain Transactions All transactions initiated through the Services are executed on blockchain networks or third-party infrastructure. Company does not process or execute these transactions. ## 6.2 Fees You agree to pay: * Gas Fees: Network transaction fees * Protocol Fees: Fees charged by third-party infrastructure * Service Fees: Any fees Company may charge Third-party fees are outside Company control. ## 6.3 Transaction Finality Blockchain transactions are generally irreversible. Once submitted, Company cannot cancel or modify them. ## 6.4 Taxes You are solely responsible for determining and paying any applicable taxes. # 7. Important Disclaimers ## 7.1 No Investment Advice THE SERVICES DO NOT CONSTITUTE INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE. ## 7.2 Platform Independence COMPANY IS NOT AFFILIATED WITH OR RESPONSIBLE FOR THIRD-PARTY PROTOCOLS OR INFRASTRUCTURE. ## 7.3 Digital Asset Risks DIGITAL ASSETS MAY EXPERIENCE VOLATILITY, DEPEGGING EVENTS, OR LOSS OF VALUE. COMPANY MAKES NO GUARANTEES ABOUT VALUE OR PERFORMANCE. # 8. Intellectual Property The Services and all related content are owned by Company or licensors and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services. *** # 9. Third-Party Links and Services The Services may contain links to third-party services. We are not responsible for their content or practices. *** # 10. Warranty Disclaimers THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR PURPOSE. # 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) \$100 (B) FEES PAID IN THE PRIOR 12 MONTHS *** # 12. Termination We may suspend or terminate access at any time. Upon termination, all licenses cease immediately.
